Welcome to KeyTrail, a software-as-a-service (SaaS) platform designed to help individuals and businesses monitor, manage, and track their software licenses and subscriptions. These Terms of Use ("Terms") form a legally binding agreement between you ("User," "you," or "your") and KeyTrail ("Company," "we," "us," or "our").

By accessing or using our website, application, services, or software (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Service.

1. Eligibility and Account Registration

To use KeyTrail, you must be at least 18 years old and have the legal capacity to enter into binding agreements. By creating an account, you affirm that the information you provide is accurate, current, and complete. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

We reserve the right to suspend or terminate your account if any information provided during the registration process or thereafter proves to be inaccurate, false, or misleading.

2. Service Description

  • Track and manage software license keys
  • Monitor renewal dates and subscription statuses
  • Generate alerts and reports
  • Analyze licensing costs over time

While we strive for accuracy, we are not liable for outdated or incorrect license data entered by users or generated via integrations.

3. Acceptable Use

You agree to use the Service only for lawful purposes. You may not:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Use the Service to track unlicensed software
  • Interfere with the integrity or performance of our systems
  • Attempt to reverse engineer, decompile, or exploit our code or software

Violation of these policies may result in immediate termination of your account and potential legal action.

4. Subscription, Payment, and Billing

KeyTrail offers both free and paid subscription tiers. If you opt for a paid plan:

  • You authorize us to charge the applicable subscription fee
  • Payments are handled via a secure third-party processor
  • Subscription renews automatically unless canceled

All fees are non-refundable unless otherwise stated. Downgrading your plan may result in loss of content or features.

5. Intellectual Property

All trademarks, logos, software, databases, UI components, and design elements of the Service are the intellectual property of KeyTrail or its licensors. You may not copy, reproduce, or redistribute any part of the Service without written permission.

You retain ownership of any content you upload, but grant us a worldwide, royalty-free license to use it solely to operate and improve the Service.

6. Privacy

We respect your privacy. Please review our Privacy Policy which outlines how we collect, use, and share your data. By using the Service, you consent to our collection and use of data as outlined in that policy.

7. Data Storage and Security

Your data is stored securely using encryption and access controls. We implement industry-standard best practices to prevent unauthorized access, data breaches, or misuse.

However, no system is 100% secure, and you acknowledge that you provide data at your own risk.

8. Availability and Support

We aim for high availability but do not guarantee uptime. Scheduled maintenance, upgrades, or unforeseen outages may cause temporary disruptions.

Basic support is offered via email or ticketing. Priority support is available to premium users.

9. Termination

You may terminate your account at any time. We reserve the right to suspend or terminate accounts for violation of these Terms or abuse of the Service. Upon termination, your access will be revoked and your data may be deleted after 30 days.

10. Limitation of Liability

To the maximum extent permitted by law, KeyTrail is not liable for:

  • Loss of data
  • Business interruption
  • Missed license renewals or incorrect alerts
  • Any indirect, incidental, or consequential damages

Our total liability shall not exceed the amount paid by you in the 12 months prior to the claim.

11. Changes to Terms

We may update these Terms periodically. Users will be notified via email or dashboard notification. Continued use of the Service after updates constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of United States. Any disputes shall be resolved in the courts of California.
